APPLICABLE TO GOVERNMENT OR PUBLIC SECTOR USERS
This Amendment (“Amendment”) applies to users of the Site and Services that are governmental or public sector entities, to the extent required by applicable law.
If You are a governmental or public sector entity (the “Agency”), You may be subject to specific legal requirements when entering into agreements, including those relating to ethics, privacy, security, accessibility, public records, fiscal constraints, governing law, and dispute resolution. Accordingly, Seeze (the “Company”) and the Agency (together, the “Parties”) agree that the Company’s standard Terms of Service (the “TOS”) are modified as set forth in this Amendment solely to the extent required by applicable law governing the Agency.
A. Government Entity Definition: For purposes of this Amendment, “You” within the TOS means the Agency as a legal entity. Individual employees, officers, contractors, or representatives of the Agency shall not be personally bound by the TOS. The Company will look solely to the Agency for compliance with the TOS, subject to applicable law.
B. Public Purpose Use: The Agency may use the Services in furtherance of its public mission. Any limitation within the TOS restricting use to private or personal purposes shall not apply to the Agency.
C. Agency Content: The Agency may publish or distribute materials through the Services consistent with its public mandate, provided such materials comply with applicable law and do not violate the TOS.
D. Advertisements: The Company does not currently display third-party advertisements within the core functionality of the Services. If the Company introduces commercial advertising that materially affects the Agency’s use of the Services, the Agency may terminate its use of the Services upon written notice.
E. Indemnification and Liability: Any indemnification, limitation of liability, or filing deadline provisions in the TOS shall apply only to the extent permitted by applicable law governing the Agency. Nothing in the TOS shall be interpreted as requiring the Agency to indemnify the Company beyond what is authorized by law. Liability of the Company shall be determined in accordance with applicable law.
F. Governing Law and Dispute Resolution: The TOS and this Amendment shall be governed by the laws of the jurisdiction in which the Company is established, without regard to conflict of law principles, unless otherwise required by mandatory provisions of applicable law. Any arbitration provision shall apply only to the extent permitted by applicable law.
G. Changes to the TOS: If the Company modifies the TOS in a manner that materially affects the Agency’s rights or obligations, the Company will provide reasonable notice. The Agency may terminate its use of the Services if it determines that such modifications are inconsistent with its legal requirements.
H. Termination: The Agency may terminate its use of the Services at any time. The Company may suspend or terminate the Agency’s access only for material breach of the TOS, violation of applicable law, or discontinuation of the Services, and where practicable will provide reasonable notice.
I. Intellectual Property: Nothing in this Amendment transfers ownership of the Company’s intellectual property. Any rights granted to the Agency are limited to those expressly set forth in the TOS.
J. No Endorsement: The Company shall not use the Agency’s name, logos, or marks in a manner that implies endorsement or sponsorship without prior written permission.
K. Independent Parties: The Parties are independent entities. Nothing in the TOS or this Amendment creates a partnership, joint venture, agency, or employment relationship.
L. No Financial Obligation: Nothing in the TOS or this Amendment obligates the Agency to expend funds or incur financial obligations except pursuant to a separately authorized agreement.
M. Precedence: In the event of a conflict between this Amendment and the TOS, this Amendment shall prevail solely with respect to the Agency. Any further amendment must be agreed to in writing by both Parties.
